First Stop Cosplay Affiliate Program Terms and Conditions
- Introduction
- By applying to be an affiliate (“Affiliate”) in the First Stop Cosplay Affiliate Program (“Program”), you agree to comply with the following terms and conditions (“Terms”). These Terms govern your participation in the Program and your relationship with First Stop Cosplay (“Company”).
- Eligibility and Enrollment
- To enroll in the Program, you must complete and submit the online application. Acceptance into the Program is at the sole discretion of the Company, and we may reject any application for any reason.
- The Program is open to individuals and entities that operate a website, blog, social media account, or other online property that aligns with the Company's brand and marketing objectives.
- Affiliate Responsibilities
- As an Affiliate, you agree to promote the Company's products and services in a manner that is ethical, professional, and in accordance with all applicable local laws.
- You are responsible for maintaining the accuracy and appropriateness of any content on your site that is associated with First Stop Cosplay. This includes ensuring that content does not infringe upon the rights of any third party, or contain any offensive or illegal materials.
- Content or communications issued by the Affiliate will not contain profanity or language that may be interpreted as ‘violent’ or inappropriate in nature.
- Affiliate Links
- Upon acceptance into the Program, you will be provided with unique affiliate links to track the sales generated through your promotions. It is your responsibility to ensure that the links are properly integrated into your site.
- The Company is not responsible for any failure by you to correctly implement, monitor, or utilize the provided Affiliate links, which may result in loss of commissions.
- Affiliate (code/hyperlink) may not be ‘spammed’ or sent via unsolicited messages. This includes, but is not limited to, ‘cold-calls’, mass email messages, social media messages sent en masse. Should an Affiliate Codes/Hyperlinks be made available through a third party discount website (i.e. Couponcabin, Retailmenot, etc.), this code/hyperlink will be deactivated at the Company’s discretion. It is the responsibility of the Affiliate to request issuance of a new code/hyperlink. Affiliates whose codes/hyperlinks are found on these websites may also be removed from the Affiliate program, or have their participation in the program limited.
- Commission and Payment
- Affiliates are eligible to earn commissions on sales of eligible products that are directly referred through the affiliate links.
- The commission rate, payment schedule, and other details regarding commissions are determined by the Company and may be subject to change at any time.
- Payments will be made to Affiliates based on the agreed-upon schedule, provided the Affiliate has met the minimum payout threshold as determined by the Company.
- Program Modifications
- First Stop Cosplay reserves the right to modify, suspend, or terminate the Program at any time for any reason. This includes changing the commission structure, payment terms, and any other aspect of the Program.
- Affiliates will be notified of any significant changes to the Program, but it is the responsibility of the Affiliate to regularly review these Terms.
- Termination
- Either party may terminate the Affiliate relationship at any time, with or without cause, by providing written notice to the other party.
- Upon termination, the Affiliate must immediately remove all affiliate links and mention of the Company included in any online descriptions or accounts (website, social media accounts, etc.), and cease promoting First Stop Cosplay's products and services.
- Any outstanding commissions owed to the Affiliate will be paid out according to the regular payment schedule, provided the Affiliate is in compliance with these Terms at the time of termination.
- Confidentiality
- Affiliates agree to keep confidential any proprietary or sensitive information provided by First Stop Cosplay during the course of the Program. This includes, but is not limited to, details about the Company's products, marketing strategies, and commission structures.
- Limitation of Liability
- First Stop Cosplay is not liable for any indirect, incidental, or consequential damages (including loss of revenue, profits, or data) arising in connection with the Program, even if we have been advised of the possibility of such damages.
- Indemnification
- Affiliates agree to indemnify and hold harmless First Stop Cosplay, its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from the Affiliate's breach of these Terms, violation of applicable laws, or infringement of any third-party rights.
- Governing Law
- These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction where First Stop Cosplay operates, the County of Orange, California, without regard to its conflict of law principles.
- Miscellaneous
- These Terms constitute the entire agreement between the parties with respect to the Program and supersede all prior agreements or understandings, whether written or oral.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
